Go Playfully Inc Terms of Service

These Terms of Service (“Terms”) govern Your access to and use of the Outgoing service, including the Outgoing web application and any mobile application, provided by Go Playfully Inc (“Company”, “We”, “Us”, or “Our”). By accessing or using the Service You agree to be bound by these Terms. If You do not agree with any part of these Terms, You may not use the Service.
Please also review Our Privacy Policy, which describes how We collect, use, and share information about You. The Privacy Policy is incorporated into these Terms by reference.
Interpretation and Definitions
Interpretation
The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.
Definitions
For the purposes of these Terms:
- Account means a unique account created for You to access the Service or parts of the Service.
- Application refers to Outgoing, the software program and website provided by the Company.
- Company (referred to as either "the Company", "We", "Us", or "Our" in these Terms) refers to Go Playfully Inc., San Francisco, CA.
- Content means text, images, audio, video, and any other material that may be viewed on or submitted through the Service.
- Country refers to: California, United States.
- Federated Identity Provider refers to any website, platform, or social network through which a User can sign in or create an account to use the Service (for example, Google or Apple).
- Service refers to the Application.
- Third-Party Service means any website, product, or service that is owned, operated, or provided by a party other than the Company, including services that You choose to connect to the Application.
- You means the individual accessing or using the Service, or the company or other legal entity on behalf of which such individual is accessing or using the Service.
Eligibility and Accounts
The Service is not directed to children under the age of 13, and You may not use the Service if You are under 13. If You are under the age of majority in Your jurisdiction, You may only use the Service with the involvement of a parent or legal guardian who agrees to these Terms on Your behalf.
To access certain features of the Service You must create an Account, which You may do through a Federated Identity Provider. You agree to provide accurate, current, and complete information when creating Your Account and to keep that information up to date. You are responsible for safeguarding Your Account credentials and for any activity that occurs under Your Account. You must notify Us promptly of any unauthorized access to Your Account.
The Service
Outgoing is a personalized recommendation service. Based on information You choose to share with Us — including profile answers, location, and, if You choose to connect it, Your Google Calendar — the Service suggests activities, venues, and events that may be relevant to You. The Service may also send You emails, push notifications, or other communications containing recommendations, unless You have opted out.
We are constantly evolving the Service. We may add, modify, or discontinue features at Our sole discretion. We will try to give advance notice when making material changes that meaningfully reduce the functionality available to You, but We are not obligated to do so.
Acceptable Use
When using the Service You agree that You will not:
- Use the Service in violation of any applicable law, regulation, or third-party right.
- Submit content that is unlawful, harassing, defamatory, fraudulent, infringing, or that misrepresents Your identity or affiliation.
- Scrape, crawl, or harvest data from the Service by automated means, except as expressly permitted by Us in writing or by a published public API.
- Reverse engineer, decompile, or attempt to derive source code from the Service, except to the extent such restrictions are prohibited by applicable law.
- Interfere with, disrupt, or place an unreasonable load on the Service, including by submitting malware, denial-of-service traffic, or circumventing rate limits or access controls.
- Use the Service or any data obtained from it to train machine learning models or to build a competing product.
- Attempt to access accounts, data, or systems that do not belong to You, or enable others to do so.
- Use the Service to send spam, phishing, or other unsolicited communications.
We reserve the right to investigate and take appropriate action against anyone who, in Our sole discretion, violates these Terms, including removing content, suspending or terminating Accounts, and reporting to law enforcement.
Third-Party Services
The Service may allow You to connect Third-Party Services, such as Your Google Calendar or a Federated Identity Provider, to provide a more personalized experience. Your use of any Third-Party Service is governed by that provider’s own terms and privacy policy, and You are responsible for reviewing them. We are not responsible for the availability, accuracy, or conduct of any Third-Party Service.
If You connect a Third-Party Service to the Application, You authorize Us to access, retrieve, and process the information from that service as described in Our Privacy Policy. You can revoke that authorization at any time through the settings in the Application, and where applicable through the third-party provider’s own account settings.
Outgoing’s use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements.
User Content
The Service may allow You to submit Content, such as preferences, profile information, notes about venues or activities, and answers to personalization questions (“User Content”). You retain all rights You already have in Your User Content.
By submitting User Content, You grant Us a worldwide, non-exclusive, royalty-free, sublicensable license to host, store, reproduce, modify (for formatting and technical purposes), create derivative works from, display, and distribute that User Content solely for the purpose of operating, providing, and improving the Service for You. You represent and warrant that You have all rights necessary to grant this license.
We do not claim ownership of Your User Content, and We will not sell or rent Your User Content to third parties for advertising purposes.
Our Intellectual Property
The Service, including all software, text, images, graphics, logos, trademarks, and other material made available by Us (collectively, the “Company Materials”), is owned by Go Playfully Inc or its licensors and is protected by intellectual property laws. Subject to Your compliance with these Terms, We grant You a limited, non-exclusive, non-transferable, revocable license to access and use the Service for Your personal, non-commercial use.
No other rights are granted by implication, estoppel, or otherwise. “Outgoing” and the Outgoing logo are trademarks of Go Playfully Inc.
Fees and Paid Features
Basic use of the Service is free at this time. We may introduce paid features or subscription plans in the future. If We do, We will clearly describe any fees at the point of purchase and obtain Your agreement before charging You.
Termination
You may stop using the Service at any time, and You may delete Your Account through the settings in the Application or by contacting Us.
We may suspend or terminate Your access to the Service at any time, with or without notice, if We believe You have violated these Terms, if necessary to protect other users or the Service, or if We discontinue the Service. Upon termination, Your license to use the Service ends immediately. Provisions that by their nature are intended to survive termination (including ownership, disclaimers, limitation of liability, and dispute resolution) will continue to apply.
Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that the Service will be uninterrupted, error-free, or secure, that defects will be corrected, or that information obtained through the Service (including recommendations) is accurate, complete, or suitable for Your purposes. Recommendations are automatically generated and may be wrong. Always verify critical details (hours, prices, availability, age restrictions, safety) directly with the venue or operator before acting on them.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL GO PLAYFULLY INC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US$100).
Some jurisdictions do not allow the exclusion of certain warranties or the limitation of liability for consequential or incidental damages, so the limitations above may not apply to You.
Indemnification
You agree to indemnify, defend, and hold harmless Go Playfully Inc and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with Your use of the Service, Your User Content, or Your violation of these Terms or any applicable law.
Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally will be resolved exclusively in the state or federal courts located in San Francisco, California, and You consent to the personal jurisdiction and venue of those courts. Nothing in this section prevents either party from seeking injunctive or equitable relief in any court of competent jurisdiction to protect its intellectual property rights.
Changes to These Terms
We may update these Terms from time to time. When We make material changes, We will notify You by posting the updated Terms on this page and updating the “Last updated” date at the top, and, where required, by email or in-app notice. Your continued use of the Service after the effective date of updated Terms constitutes Your acceptance of the changes. If You do not agree, You must stop using the Service.
Miscellaneous
These Terms, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between You and Us regarding the Service and supersede any prior agreements. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision is not a waiver. You may not assign or transfer these Terms without Our prior written consent; We may assign them freely.
